The SEBI Settlement Regulations 2026, formally the Settlement of Administrative and Civil Proceedings Regulations, 2026, come into force on November 7, 2026. They replace the 2018 settlement framework and swap negotiated outcomes for a formula-based penalty system.
SEBI notified the regulations on October 6, 2026 (Notification No. SEBI/LAD-DOP/2026/318), and they appeared in the Gazette on October 7, 2026.
How Is the Settlement Amount Calculated?
Under Regulation 10, the settlement amount equals a base amount multiplied by a sum of factors: the stage of the proceeding, the regulatory action factor, the gravity of the violation and any aggravating factors, less mitigating factors. If the net sum is below 1, it is taken as 1. Minimum settlement amounts are Rs 3 lakh for first-time applicants and Rs 7 lakh for others.
Illegal gains made or losses avoided must be repaid in full, separately from the penalty. Application fees are non-refundable: Rs 25,000 for natural persons and Rs 35,000 for other applicants.
Who Is Not Eligible to Settle?
Wilful defaulters, fraudulent borrowers and fugitive economic offenders cannot apply. Settlement is also restricted where an examination, investigation, inspection or audit on the same cause of action is pending, or where a settlement application for the same default was already rejected, subject to exceptions. Proceedings with market-wide impact or losses to many investors may not be settled, though Regulation 18(2) may allow consideration where such concerns can be remedied.
What Is the Fast-Track Route?
Chapter VI provides two fast-track options. For eligible defaults such as delayed disclosures, SEBI may issue a notice before starting proceedings, and the entity generally has 30 days to act, extendable by up to 15 days. Separately, cases where the calculated amount is up to Rs 10 lakh can be settled on a fast track, with no disgorgement or remedial terms.
Market and Trade Reaction
No market reaction was reported. One market-focused report described the change as replacing discretionary negotiations with a rigid, formula-based penalty system, and said its success will depend on whether it shortens case closure times and acts as a real deterrent.
What Happens Next?
The regulations apply from November 7. Applicants generally have 90 days from service of the show-cause notice to file, except for matters pending before the Securities Appellate Tribunal or the Supreme Court. Readers should check SEBI’s official notification before relying on deadlines.
